Terms of use

These Terms of Use govern your access to the website at axonhealth.io and Axon Workspace, the staff-facing mobile app for iOS and Android, together with its supporting services (the “Services”). The Services are provided by Axon Health Inc. (“Axon Health,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to these Terms of Use. If you do not agree, do not use the Services. You must have the legal capacity and authorization needed to use them. Axon Workspace is for authorized staff using an organization-managed account.

A separate written agreement between your organization and Axon Health, including any applicable data processing agreement, governs the organization’s subscription and our processing of its records. That agreement prevails over these Terms of Use if they conflict on those matters. These terms do not grant you authority to act for an organization or access information outside your assigned permissions.

“Contents” means the software, text, graphics, designs, documentation, and other materials made available through the Services. Organization records and content you submit remain subject to the ownership and use provisions below.

Features depend on your organization’s subscription, configuration, your role, and your device. We may update the Services, perform maintenance, or change features, subject to any commitments in our agreement with your organization. Access may be interrupted by network, device, or third-party service issues.

You are responsible for a compatible device, internet access, and any carrier charges. Install updates needed for security and compatibility. The app may require a supported operating system or version to continue working. Any fees for your organization’s service are governed by its separate agreement with Axon Health.

Use only the account and organization access assigned to you. Keep your credentials, verification codes, and device secure; do not share accounts or attempt to bypass organization or role restrictions. Promptly notify your administrator or contact@axonhealth.io if your device is lost or you suspect unauthorized access.

Your organization is responsible for authorizing staff and managing permissions. You remain responsible for using information only for authorized work and for complying with its policies. Sign out on shared devices, review notification previews, and prevent others from viewing confidential information on your screen.

Axon Workspace supports staff coordination and record management. It does not replace professional judgment, your organization’s care protocols, or independent verification of records and instructions. Axon Health does not provide medical advice through the app.

The Services are not an emergency response system. Messages and push notifications may be delayed, disabled, or undelivered and are not guaranteed to be monitored. Do not rely on them for urgent or time-critical care. Use your organization’s escalation procedures and local emergency services when appropriate.

Use the Services lawfully and only for purposes you are authorized to perform. Keep account information accurate. You must not:

• Access another organization’s records or another person’s account without authorization, share credentials, or bypass security or permission controls.
• Upload malware, interfere with the Services, or attempt to extract information through unauthorized scraping or other automated access.
• Use the Services for fraud, impersonation, harassment, threats, unlawful discrimination, spam, or other illegal activity.
• Collect, use, or disclose personal information beyond your authority, or infringe another person’s confidentiality, privacy, or intellectual property rights.
• Sell, sublicense, or provide unauthorized access to the Services or Axon Health’s proprietary software and materials.

You are responsible for your use of the Services and for content you submit. Authorized copying and sharing of organization records remains subject to your organization’s policies and these terms.

You and your organization retain your respective rights in the records, messages, documents, photos, and other content submitted to the Services (“User Content”). You grant Axon Health only the rights needed to host, process, transmit, and display that content to provide, secure, and support the Services in accordance with our agreements and privacy policy. These terms do not transfer ownership of patient or organization records to Axon Health or authorize their use in public marketing.

You must have authority to collect, access, upload, and share the information you use. Follow applicable law and your organization’s consent, confidentiality, recordkeeping, and professional requirements. Check the accuracy of entries and select the correct recipients before sending a message or sharing a file. Do not submit unlawful content, malware, or material that infringes another person’s rights.

Use approved Workspace features for sensitive records. Do not submit patient information through public website forms. Downloading, printing, or exporting a record creates a copy outside the app; you are responsible for handling it according to your organization’s policies.

We may restrict content or access when necessary to address misuse, security threats, or legal requirements, subject to our agreements and applicable law. Retention, return, and deletion of organization records are governed by those agreements and the privacy policy.

We may update these Terms of Use as the Services change. The effective date identifies the current version. We will provide notice of material changes through the website, app, or account contact details as appropriate, and obtain further agreement where required by law. Continued use after an update takes effect constitutes acceptance to the extent permitted by law.

Additional terms may apply to particular features. We will make those terms available when relevant. They govern the feature to the extent of a conflict with these terms, subject to the separate organization agreement described above. Nothing here limits rights that cannot be waived under applicable law.

Before you use certain areas of the Services, you may be asked to indicate your acceptance of certain special terms and conditions by clicking on a button marked “OK” or “I agree”. Any special terms and conditions to which you agree will supplement and amend these Terms of Use.

Use of certain links on the Services will direct you away from the Services to third party websites. Such third party websites are not under the control of Axon Health, and Axon Health is not responsible for the contents of any such website or any link contained in such website. The third party links included on the Services are provided for your convenience, and the inclusion of such links does not imply a recommendation or endorsement by Axon Health of any such website or the products or services offered therein.

Our privacy policy explains how we handle information from the website and Axon Workspace, including mobile permissions, service providers, retention, and requests for access, correction, or deletion. Your organization’s privacy notices and instructions also apply to records it controls.

We may send operational and security messages needed for your account. Optional promotional communications are subject to applicable consent requirements and unsubscribe choices. You can manage mobile notification permissions in your device settings. Questions about personal information may be sent to contact@axonhealth.io.

Axon Health and its licensors retain rights in the Services, software, branding, and Contents, excluding User Content owned by you, your organization, or other rights holders. Subject to these terms and your organization’s agreement, we grant you a limited, non-exclusive, non-transferable license to install and use Axon Workspace on a device you own or are authorized to use for your authorized work.

You may use website materials to learn about our services and evaluate them for your organization. You may use and export organization records only as your permissions and organization policies allow. You may not resell the app, sublicense access, remove proprietary notices, or copy, modify, or reverse engineer the software except where applicable law permits it. No rights to Axon Health trademarks are granted.

Applicable Apple App Store or Google Play usage rules also apply to downloads from those stores. The Services are provided by Axon Health; Apple and Google are not responsible for operating your organization’s workspace or providing support for it. Contact contact@axonhealth.io for app support. Third-party and open-source components remain subject to their applicable licenses.

We take intellectual property rights, both our own and others, very seriously.

If you are an owner of intellectual property (or the owner’s authorized agent) and believe that any of the Contents or the Services infringes your intellectual property, please notify us using the following procedure:

Please send a written notice of intellectual property infringement to contact@axonhealth.io.

In your written notice, please provide the following information:

• Identification of the intellectual property claimed to have been infringed;
• Identification of the Contents that you claim are infringing your intellectual property;
• Information sufficient to permit us to contact you, such as an address, telephone number, and, if available, an electronic mail address at which you may be contacted;
• A statement that you believe that use of the Contents in the manner complained of is not authorized by the owner, its agent, or the law; and
• A statement that the information in the notification is accurate, and under penalty of perjury, that you are the owner or are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

Any third-party content, data or publications made available through the Services are furnished by Axon Health on an as-is basis for your convenience and information. Any opinions, advice, statements, services, offers, or other information made available by third parties, including program hosts, information providers, or any user of the Services, are those of the respective author(s) or publisher(s) and not of Axon Health. AXON HEALTH DISCLAIMS ANY WARRANTY OR REPRESENTATION, EITHER EXPRESS OR IMPLIED, THAT THE INFORMATION IN SUCH PUBLICATIONS IS ACCURATE OR COMPLETE.

Your organization controls your staff access and may change or remove it, including when your role or employment changes. Axon Health may suspend or terminate access for a breach of these terms, a security concern, a legal requirement, or the end of the organization’s service agreement, subject to that agreement and applicable law.

You may stop using and uninstall the app at any time. To request account closure or deletion of personal information, contact your organization administrator or contact@axonhealth.io. The account and data deletion process explains verification, organization coordination, and retention limits. Uninstalling the app or disabling access does not delete server-held records or cancel your organization’s agreement.

Ending access does not remove obligations that by their nature continue, including confidentiality, intellectual property rights, and liabilities already incurred. Organization records may need to be retained under applicable law and the organization’s instructions.

You agree to indemnify, defend, and hold harmless Axon Health and its successors and assigns, and any of their respective officers, directors, employees, members, agents, representatives, licensors, advertisers, and suppliers from any liability, loss, claim, and expense (including reasonable legal fees) related to (a) your violation of these Terms of Use, and (b) your use of the Services.

We reserve the right to assume, at our sole expense, the exclusive defense and control of any such claim or action and all negotiations for settlement, or compromise, and you agree to fully cooperate with us in the defense of any such claim, action, settlement or compromise negotiations, as we may request.

These Terms of Use and applicable additional terms govern your use of the Services, subject to the separate organization agreements described above. We may provide notices by email, in the app, or on the website. Our failure to enforce a provision does not waive our right to enforce it later. If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law.

The laws of the Province of Ontario and the federal laws applicable therein govern these Terms of Use, without giving effect to conflicts of laws principles. Nothing in these terms excludes any mandatory protections or remedies available under applicable law.

To request the consent of Axon Health for any of the actions for which such consent is required under these Terms of Use, please send an e-mail to contact@axonhealth.io. Axon Health reserves the right to refuse any such requests in its sole discretion.
